Terms and conditions for using the AssetBase Investor Portal
These Terms of Service ("Terms") govern your access to and use of the AssetBase Investor Portal ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
1. Platform Purpose
The AssetBase Investor Portal is a secure platform designed to facilitate investment-related document review and execution. The Platform enables you to:
- Review and accept NDAs and other agreements
- Access confidential documents related to investment transactions
- Execute electronic signatures on legal documents
- Track the status of your documents and signatures
2. Account Access and Security
Access to the Platform is provided through secure magic links sent to your registered email address. You are responsible for:
- Maintaining the confidentiality of your access credentials
- Ensuring only you access the Platform using your credentials
- Immediately notifying us of any unauthorized access
- All activities that occur under your account
3. Electronic Signatures
By using the Platform to sign documents electronically, you acknowledge and agree that:
- Electronic signatures executed through the Platform are legally binding
- You consent to conduct transactions electronically
- You have the ability to access and retain electronic records
- Your electronic signature represents your intent to be bound by the signed documents
4. Confidentiality
Documents and information accessed through the Platform may be confidential and subject to Non-Disclosure Agreements. You agree to:
- Maintain strict confidentiality of all information accessed
- Not share confidential information with any third parties
- Use information only for evaluating the relevant transaction
- Comply with all applicable NDAs and confidentiality agreements
5. Acceptable Use
You agree not to:
- ×Use the Platform for any unlawful purpose
- ×Attempt to gain unauthorized access to any part of the Platform
- ×Interfere with or disrupt the Platform's performance
- ×Impersonate any person or entity
- ×Use automated systems to scrape or extract data from the Platform
6. Intellectual Property
The Platform, including its design, features, and content (excluding documents provided by third parties), is owned by AssetBase and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written permission.
7. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSETBASE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSETBASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
8. Indemnification
You agree to indemnify and hold harmless AssetBase and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform or violation of these Terms.
9. Modifications to Terms
We may modify these Terms at any time by posting the revised Terms on the Platform. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
10. Termination
We may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, your right to access the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including confidentiality obligations and limitation of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bermuda, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bermuda.
